Take the lead in preparing all required documentation or drive process with outside law firm
Draft and negotiate side letters with incoming investors.
Advise on fund structuring and formation for domestic and offshore hedge funds, including multi-class/series funds and master/feeder funds
Prepare, review and/or amend fund documentation, including term sheets
Preparation of ancillary documents for the manager, such as non-disclosure agreements and authorized signatory lists
Review and negotiate all trading documentation, PB, ISDA, futures, cleared swaps, etc.
Review and negotiate all vendor contracts, including administration agreement, software agreements and engagement letters.
